Terms of Service
1. Agreement to Terms
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and WARE ALLINONE LLC ("Company," "we," "us," or "our"), a limited liability company registered in the State of Illinois, with its principal place of business at 420 W Belmont Ave 16B, Chicago, IL 60657, United States.
If you do not agree to these Terms, you may not access or use CoinFlow. If you are using CoinFlow on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
CoinFlow is a personal finance and expense tracking application that enables users to:
- Record, categorize, and monitor income and expenses;
- Set budgets and receive bill payment reminders;
- Track investments and portfolio performance;
- Optionally connect financial accounts via third-party data aggregation services;
- Export financial reports in PDF or CSV format.
CoinFlow is a personal finance management tool only. We do not provide banking, brokerage, lending, payment processing, tax preparation, or investment advisory services.
3. Eligibility
You must be at least 18 years of age and capable of forming a binding contract to use CoinFlow. By using the Service, you represent and warrant that you meet these requirements and that all registration information you provide is accurate and current.
4. Account Registration & Security
To access certain features, you must create an account with a valid email address and password. You are responsible for:
- Maintaining the confidentiality of your account credentials;
- All activity that occurs under your account;
- Notifying us immediately at chloe@wareallinonellc.online if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.
5. Financial Data & Third-Party Services
5a. Connected Accounts (Plaid)
When you link a bank or financial institution, CoinFlow uses Plaid Inc. as a third-party service provider. By connecting an account, you authorize Plaid to access your financial institution data on a read-only basis and transmit relevant transaction data to CoinFlow.
- Your use of Plaid is also subject to Plaid's End User Privacy Policy and terms, available at plaid.com/legal.
- We are not responsible for the accuracy, completeness, or timeliness of data provided by your financial institution or Plaid.
- Connection availability depends on your institution's support for Plaid and may change without notice.
5b. Local-Only Mode
If you use CoinFlow without connecting external accounts, your data is stored locally on your device. You are solely responsible for backing up local data. We cannot recover locally stored data if your device is lost, damaged, or reset.
6. Not Financial Advice
Reports, charts, and budget suggestions generated by CoinFlow are based on data you provide or import. We do not guarantee their accuracy for tax filing, loan applications, or any official financial purpose.
7. Acceptable Use
You agree not to:
- Use CoinFlow for any unlawful purpose or in violation of applicable financial regulations;
- Attempt to gain unauthorized access to our systems, other users' accounts, or connected financial institutions;
- Reverse engineer, decompile, or disassemble any part of the Service;
- Transmit malware, spam, or automated scripts that interfere with Service operation;
- Misrepresent your identity or provide false financial information;
- Resell, sublicense, or commercially exploit the Service without our written consent.
8. Fees & Payment
CoinFlow may offer free and paid subscription tiers. Applicable fees, billing cycles, and feature differences will be disclosed before you purchase a paid plan. All fees are non-refundable except where required by applicable law or explicitly stated at the time of purchase.
We reserve the right to change pricing with at least 30 days' notice to existing subscribers. Continued use after a price change constitutes acceptance of the new pricing.
9. Intellectual Property
CoinFlow, including its name, logo, software, design, and documentation, is owned by WARE ALLINONE LLC and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms.
You retain ownership of the financial data you enter or import. By using the Service, you grant us a limited license to process your data solely to provide and improve CoinFlow, as described in our Privacy Policy.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, error-free, or secure at all times;
- Financial data synced from third parties will be complete or up to date;
- Any defects will be corrected within a specific timeframe.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WARE ALLINONE LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR FINANCIAL OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE COINFLOW.
Our total cumulative liability for any claims arising under these Terms shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100.00).
Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the fullest extent permitted by applicable law.
12. Indemnification
You agree to indemnify, defend, and hold harmless WARE ALLINONE LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Termination
You may stop using CoinFlow and delete your account at any time through the app settings or by contacting us. We may suspend or terminate your access immediately, without prior notice, if you breach these Terms or if we discontinue the Service.
Upon termination:
- Your right to use the Service ceases immediately;
- We will delete your account data in accordance with our Privacy Policy;
- Sections that by their nature should survive termination (including disclaimers, limitation of liability, and indemnification) will remain in effect.
14. Changes to the Service & Terms
We may modify, suspend, or discontinue any part of CoinFlow at any time. We may also update these Terms periodically. Material changes will be communicated via in-app notification or email at least 14 days before taking effect.
Your continued use of CoinFlow after updated Terms become effective constitutes acceptance. If you disagree with changes, you must stop using the Service and delete your account.
15. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of CoinFlow shall be resolved exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the personal jurisdiction of such courts.
Before initiating formal legal proceedings, you agree to contact us at chloe@wareallinonellc.online and attempt to resolve the dispute informally for at least 30 days.
16. General Provisions
- Entire agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and WARE ALLINONE LLC regarding CoinFlow.
- Severability: If any provision is found unenforceable, the remaining provisions remain in full force.
- Waiver: Failure to enforce any right or provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms. We may assign our rights in connection with a merger, acquisition, or sale of assets.
